The history of ESOPs 

An Employee Stock Ownership Plan (ESOP) is a retirement plan; however, it is much more than that, it is a powerful tool that drives employee engagement, boosts productivity, and improves job retention.

Louis Kelso, an economist and investment banker, is credited with introducing the ESOP concept. He argued that employee ownership could boost productivity and distribute wealth more evenly. His ideas took root in 1956 when he helped Peninsula Newspapers Inc. create the first ESOP.

The passage of ERISA in 1974 was pivotal for ESOPs. ERISA established formal legal and tax frameworks for employee benefit plans, including ESOPs, providing safeguards for employees’ retirement assets. ESOPs were formally recognized under ERISA as a retirement plan.

Today, ESOPs are widely recognized as an effective model for business succession, employee engagement, and wealth distribution. Over 6,500 companies in the U.S. alone have an ESOP, covering millions of employees. They have evolved with changing economic conditions and are now a vital part of corporate America, with robust regulations and ongoing advocacy aimed at supporting employee ownership.

ESOP participants enjoy a retirement plan without immediate contributions and share in the company’s success when performance is strong. Research shows they are 6.2 times less likely to be laid off compared to those in conventional companies.

ESOPs offer tax benefits, including potential tax deductions and favorable financing options, which can enhance business longevity and stability. When employees own a stake in the company, they are more likely to contribute positively, ensuring uninterrupted service and support.

Business owners can sell their shares to an ESOP, deferring capital gains taxes and exiting the business on their timeline while preserving the company culture they built.
